Terms of Service

Welcome to Aswin Ltd (trading as Aswin Web Design). By engaging our services, you agree to be bound by the following Terms of Service. Please read them carefully.
- Acceptance of Terms
By using our services, you confirm that you have read, understood, and agreed to these Terms. If you do not agree, you must not use our services.
- Services Provided
Aswin Ltd offers services including, but not limited to:
- Web design and development
- Domain name registration and management
- Website hosting and maintenance
- Technical support and consultation
- Digital marketing services (e.g., SEO, social media management, email marketing, and online advertising)
- Design and print services (e.g., logo design, business cards, flyers, banners, and promotional materials)
Any additional services must be agreed upon in writing.
- Client Responsibilities
The Client is solely responsible for all content, products, services, and business practices displayed on their website. Aswin Ltd acts solely as a service provider for web design, development, hosting, and domain management, and is not responsible for the accuracy, legality, or compliance of any content provided by the Client.
- No Endorsement
Aswin Ltd does not endorse, validate, or take responsibility for any claims, actions, or services presented on the Client’s website or through their business. All disputes, liabilities, and legal claims related to website use or business operations are the sole responsibility of the Client.
- Indemnification
The Client agrees to indemnify and hold harmless Aswin Ltd, its employees, and contractors from any claims, damages, or legal actions arising from the use or misuse of the website or domain, including its content and any related services.
- Domain Management
If Aswin Ltd registers or manages a domain on behalf of the Client, the domain will be held in trust and transferred upon request, subject to any outstanding balances. Holding a domain does not imply ownership or liability for the business it represents.
- Payment Terms
- A deposit (typically 50%) is required before work begins.
- The balance is due upon project completion unless otherwise agreed.
- Late payments may result in paused services or delayed delivery.
- Deposits are non-refundable unless otherwise agreed in writing.
- Project Timelines & Client Cooperation
Timelines are estimates and depend on timely feedback and content delivery from the Client. Delays from the Client may lead to project rescheduling or additional charges.
- Intellectual Property
- Upon full payment, the Client owns the final design, content, and website files.
- Client-provided materials must not infringe on any third-party rights.
- Use of Images and Media
Aswin Ltd uses images and media provided by the Client for website projects. It is the Client’s responsibility to ensure that they hold the appropriate legal rights or licenses for any images they supply.
If the Client does not provide images, Aswin Ltd may use royalty-free, stock, paid, or freely available images from reputable sources. These images are selected to complement the website’s design and purpose; however, Aswin Ltd does not guarantee exclusivity or accept responsibility for any future licensing changes made by third-party providers.
- Third-Party Services
We may integrate third-party services (e.g., plugins, payment gateways, analytics). We are not responsible for outages, changes, or limitations from these services.
- Website Maintenance & Support
Aswin Ltd offers website maintenance and support as a chargeable service, billed annually. This service includes:
- WordPress core updates
- Plugin updates
- Theme updates
- PHP version updates (where applicable)
- Security updates
- Monthly updates to images and minor content changes, as requested by the Client
Requests for substantial updates, such as redesigns, the addition of new pages, major layout changes, or the integration of new functionality, are not included in the annual maintenance plan. These will be billed at an hourly rate and must be agreed upon in advance.
Clients who do not subscribe to a maintenance plan are responsible for managing their own updates and website security. Aswin Ltd shall not be held liable for any issues that arise from outdated software, plugins, or themes where no maintenance agreement is in place.
- Termination
Either party may terminate the agreement with written notice. Any work completed up to that point must be paid in full. Upon termination, files will be transferred once all dues are cleared.
- Limitation of Liability
Aswin Ltd shall not be liable for any indirect, incidental, or consequential damages, including but not limited to loss of data, business interruption, or lost profits, arising from the use of our services.
- Governing Law
These Terms are governed by the laws of England and Wales. Any disputes shall be resolved under this jurisdiction.
- Changes to Terms
We may update these Terms from time to time. Clients will be notified of any significant changes. Continued use of services implies acceptance of the updated Terms.
